Commercial & Distributor Warranty Addendum 

Effective Date: August 28, 2026 

1. Purpose 

This Addendum supplements the ANCORE Limited Warranty and establishes warranty responsibilities for commercial and channel transactions. It is intended to support end users while defining the roles, costs, and service boundaries applicable to commercial customers, distributors, resellers, and similar parties. 

2. Application 

This Addendum applies to commercial, institutional, distributor, reseller, dealer, bulk, franchise, training facility, rehab clinic, studio, gym, and other non-household transactions. It also applies when an ANCORE product is acquired by an intermediary for resale, placement, installation, or use by an end customer. 

This Addendum does not apply solely because a purchaser or shipment is located outside the United States. An individual consumer purchasing for personal, family, or household use remains subject to the Limited Warranty and applicable consumer law unless another written agreement applies. 

The Limited Warranty remains applicable except where this Addendum expressly modifies it. If this Addendum conflicts with the Limited Warranty, this Addendum controls for transactions covered by this Addendum. 

3. Warranty Pass-Through and Covered End User 

For an authorized distributor or reseller sale, ANCORE's Limited Warranty may pass through to the first documented end user, subject to the Limited Warranty, this Addendum, and any applicable product-specific schedule. 

Coverage may remain in effect if that end user relocates the product to another location it owns or operates, provided the product is properly removed, transported, reinstalled, and used in accordance with ANCORE's instructions. Coverage does not transfer upon resale or transfer to an unrelated person or business unless ANCORE agrees otherwise in writing. 

4. Warranty Start Date 

For a product sold through an authorized distributor or reseller, the warranty begins on the documented date of purchase by the first end user, but no later than six months after ANCORE ships the product to the distributor or reseller. Proof of end-user sale may be required. 

ANCORE may approve a different start date, activation schedule, or reporting process in writing for staged deliveries, large rollouts, franchise deployments, or similar commercial programs. 

5. First-Line Support 

Unless ANCORE agrees otherwise in writing, distributors and resellers are responsible for initial customer intake, collection of required claim information, and basic troubleshooting using ANCORE-approved materials. Validated warranty matters should be escalated to ANCORE for evaluation. 

ANCORE may communicate directly with an end user, distributor, installer, service provider, franchise operator, or other relevant party when reasonably necessary for claim evaluation, safety, service coordination, product updates, or recalls. 

6. ANCORE's Warranty Responsibility 

For an approved claim, ANCORE will select the appropriate remedy under the Limited Warranty. ANCORE may provide troubleshooting, repair, replacement parts, a new, refurbished, reconditioned, or functionally equivalent product or component, credit, or refund, subject to applicable law. 

If ANCORE selects a refund or credit for a commercial or channel sale, it will not exceed the amount paid directly to ANCORE for the affected product and will ordinarily be issued to ANCORE's direct purchaser or account holder unless applicable law or a written agreement requires otherwise. 

7. Shipping and Logistics 

For approved commercial, distributor, reseller, bulk, or international claims, ANCORE will supply the covered part or product selected as the remedy. Unless ANCORE agrees otherwise in writing, the customer or channel partner is responsible for international freight, duties, taxes, customs, brokerage, storage, local delivery, and other local or international logistics. 

If a claim is not approved, is outside the warranty period, or involves an excluded condition, the customer may also be responsible for inspection, shipment, return, and related costs. 

8. Labor, Installation, and Commercial Losses 

Unless ANCORE expressly agrees otherwise in writing, warranty coverage does not include installation, removal, reinstallation, labor, travel, on-site service, third-party technicians, customer coordination, local service, or similar costs. 

To the maximum extent permitted by law, coverage also excludes downtime, loss of use, business interruption, lost revenue or profits, studio opening delays, member refunds, franchise disputes, and other incidental, consequential, special, indirect, commercial, or punitive damages. 

9. Installation, Mounting, and Site Conditions 

Commercial customers, distributors, resellers, installers, franchise operators, and end users are responsible for compatible mounting conditions, proper installation, suitable site conditions, and use in accordance with ANCORE's instructions. 

ANCORE is not responsible for damage caused by improper installation, removal, relocation, anchoring, mounting, incompatible structures or surfaces, unauthorized modifications, unapproved attachments, or failure to follow ANCORE instructions. 

10. Distributor and Reseller Obligations 

  • Provide customers with ANCORE's then-current warranty terms or an ANCORE-approved summary before sale. 

  • Avoid warranty, performance, safety, installation, service, or product promises not approved by ANCORE. 

  • Preserve purchase, shipment, customer, location, model, and serial-number information reasonably required for warranty support, traceability, or recall. 

  • Use ANCORE-approved parts, procedures, instructions, and materials unless ANCORE approves otherwise in writing. 

  • Cooperate with ANCORE in investigating claims, failures, safety concerns, and recalls. 

11. Unauthorized Promises 

No distributor, reseller, dealer, installer, channel partner, commercial customer, franchise operator, sales representative, or other third party may modify ANCORE's warranty, approve a claim, bind ANCORE to additional obligations, or waive ANCORE's rights unless ANCORE expressly authorizes it in writing. 

Any additional warranty, refund right, return right, labor commitment, installation commitment, service promise, performance guarantee, or customer accommodation offered without ANCORE's written approval is solely the responsibility of the party making it. 

12. Commercial Claims Process 

ANCORE may require proof of purchase, invoice or order information, end-user purchase documentation, model, serial number, installation location, end-user contact information, issue description, photos, videos, use environment, installation details, service history, or return of a product or component for inspection. 

Products and components must not be returned without ANCORE's prior written authorization. The customer must package authorized shipments securely and follow ANCORE's instructions. Original packaging is not a general condition of warranty coverage, although a written commercial agreement may require retention of specified reusable service packaging. 

13. Replacement Products and Parts 

Replacement products and parts may be new, refurbished, reconditioned, or functionally equivalent. They do not restart the original warranty. They are covered for the remainder of the original warranty period or 90 days from replacement, whichever is longer, unless applicable law or a written agreement requires otherwise. 

14. Spare Parts and Service Levels 

ANCORE does not guarantee local spare-parts inventory, replacement inventory, on-site service, or a specific response, shipping, repair, or replacement timeframe unless stated in a separate written agreement. Required spare-parts packages, local inventory commitments, service levels, and response-time obligations must be defined in the applicable commercial or distributor agreement. 

15. International Responsibilities 

Unless ANCORE agrees otherwise in writing, the customer, distributor, reseller, importer, or end user is responsible for import and export compliance, duties, taxes, customs charges, brokerage, product registration requirements, local law, and local service logistics. 

16. Goodwill Support 

ANCORE may voluntarily provide support, discounts, parts, replacements, or other accommodations outside the written warranty. Goodwill support does not extend, modify, restart, or waive the warranty and does not require similar support in another case. 

17. Relationship to Other Agreements 

A transaction-specific quote, distributor agreement, commercial agreement, accepted purchase order, or other written term controls only if ANCORE expressly accepted it in writing. Otherwise, this Addendum supplements the Limited Warranty. Mandatory applicable law controls over both documents.
